PARTNERS REFERRAL PROGRAM TERMS

1. Overview
These Partners Referral Program Terms and Conditions ("Agreement") constitute an agreement between HLA Solutions Group, LLC d/b/a Genius Referrals ("Company," "we," or "us") and individuals or entities ("Referrers") participating in our referral program. By participating in the Partners Referral Program, Referrers agree to be bound by these terms and conditions. 2. Program Eligibility
2.1. To be eligible for the Partners Referral Program, Referrers must comply with the eligibility criteria set forth by Genius Referrals.

3.1. Referrers may refer potential clients and partners ("Referred Individuals") to Genius Referrals through a unique referral link provided by Genius Referrals.
3.2. Referrers will be eligible to earn a 30% recurring commission for the life of each referral, as described in the promotional materials or as communicated by Genius Referrals.
3.3. Referral rewards may be subject to change or termination at the discretion of Genius Referrals. Changes will be communicated to Referrers.
3.4. Referrers have up to one year from earning rewards to redeem them as PayPal cash or gift cards.
3.5. Bonuses will expire if not redeemed within one year.

4.1. Referrers may not engage in any activities that violate the terms of use or policies of Genius Referrals.
4.2. Referrers must comply with all guidelines and rules provided by Genius Referrals in connection with the Partners Referral Program.
4.3. Genius Referrals reserves the right to disqualify Referrers who engage in fraudulent or abusive behavior in connection with the Partners Referral Program.

Referrers must respect the privacy and confidentiality of their Referred Individuals and must comply with all applicable data protection and privacy laws.
6. Termination
6.1. Genius Referrals reserves the right to terminate or suspend a Referrer's participation in the Partners Referral Program at any time, with or without cause.
6.2. Any unpaid commissions will be forfeited if a Referrer’s account is terminated due to fraud or violation of these terms.
6.3. Referrers may terminate their participation in the program at any time by providing written notice to Genius Referrals.
7. Limitation of Liability
Referrers participate in the Partners Referral Program at their own risk. Genius Referrals is not responsible for any damages or losses incurred by Referrers in connection with the program.
8. Modifications
Genius Referrals may modify or terminate the Partners Referral Program or these Terms and Conditions at any time, with or without notice. Referrers must regularly review these terms to stay informed of any changes.

- Creating fake accounts, using false information, or impersonating another individual or entity.
- Referring to themselves or entities they control.
- Encouraging or facilitating chargebacks or refunds by referred customers.
3. Referral Rewards
3.1. Referrers may refer potential clients and partners ("Referred Individuals") to Genius Referrals through a unique referral link provided by Genius Referrals.
3.2. Referrers will be eligible to earn a 30% recurring commission for the life of each referral, as described in the promotional materials or as communicated by Genius Referrals.

3.6. Hold Period for Credit Card Payments:
- Suppose a Referred Individual pays by credit card. In that case, the corresponding referral bonus will be held for a minimum of 90 days (or the chargeback period specified by the payment processor) to mitigate the risk of chargebacks.
- The bonus will only be released after the chargeback period expires and the payment is confirmed as non-reversible.
- The corresponding referral commission will be revoked if a Referred Individual initiates a chargeback or requests a refund.
- If the commission has already been paid, Genius Referrals reserves the right to reclaim the commission amount or deduct it from future earnings.
- Referrers are responsible for ensuring that Referred Individuals are legitimate and do not engage in fraudulent or abusive behavior.
- If Genius Referrals determines that a Referrer has engaged in fraud, all unpaid commissions will be forfeited, and the Referrer’s account may be terminated immediately.
- Genius Referrals reserves the right to withhold or revoke commissions in cases of suspected fraud or violation of these terms.
4. Referral Rules
4.1. Referrers may not engage in any activities that violate the terms of use or policies of Genius Referrals.
4.2. Referrers must comply with all guidelines and rules provided by Genius Referrals in connection with the Partners Referral Program.
4.3. Genius Referrals reserves the right to disqualify Referrers who engage in fraudulent or abusive behavior in connection with the Partners Referral Program.
4.4. Referrers must not:
- Use spam, misleading advertising, or unethical practices to generate referrals.
- Encourage or facilitate chargebacks or refunds by Referred Individuals.
- Misrepresent Genius Referrals or its services in any way.
